The policies governing the use of MetaGrade Wallet, a settlement-orchestration service for art transactions.

01 — Agreement
Terms of Service
By accessing MetaGrade you agree to these terms.
What MetaGrade does
MetaGrade Wallet is a neutral settlement-orchestration service. It coordinates wallet accounts, runs the protected-settlement ledger and escrow workflow, records policy approvals, keeps custody references and payout records, and maintains reconciliation and audit history for transactions that start on the GalleraVault marketplace.
What MetaGrade is not
Not a bank. MetaGrade does not take deposits or provide banking services. Banking services are provided by regulated partners where contracted.
Not a qualified custodian. Wallets are BitGo multi-party (TSS) wallets. MetaGrade holds an encrypted key share for its signing role and coordinates signing under policy; BitGo co-signs. Qualified custody may be provided through regulated partners (for example BitGo Trust) only where a custody agreement is in place, and is not provided for every asset. Physical artworks are not held by MetaGrade or BitGo.
Token-neutral. MetaGrade issues no token, coin or stablecoin, and offers no tokenized art, fractional ownership, fund units or investment products. Settlement is in fiat or supported third-party digital assets such as USDC, subject to partner and jurisdiction support.
Not the registry. Artwork records, evidence and certificates of record are kept on the Vaultion registry on GalleraVault. A certificate of record is an attestation that a record was reviewed; it is not a token and not proof of authenticity. MetaGrade no longer issues certificates.
Eligibility
You must complete identity (KYC) or entity (KYB) verification before accessing wallet, escrow and settlement features. Accounts found to be in violation may be suspended.
Acceptable use
No use of the platform to launder proceeds or evade sanctions screening.
Escrow releases require dual-control approval; attempts to circumvent policy controls are prohibited.
API access is governed by issued credentials and rate limits.
No warranty
The service is provided “as is.” Nothing in MetaGrade is a financial instrument, an investment offer or investment advice. Legacy certificates issued by MetaGrade before September 2026 are historical records only; they are not tokens of value and not proof of authenticity.
02 — Data
Privacy Policy
We collect only what is necessary to operate a settlement-orchestration service: account identifiers, verification artifacts, and audit metadata.
What we store
Documents: for KYC/KYB, only a filename, size, MIME type, and SHA-256 hash are retained — the file bytes never leave your browser.
Secrets: wallet passphrases, 2FA secrets, and bank access tokens are envelope-encrypted (AES-256-GCM) before storage; plaintext is never persisted.
Audit trail: every state change is recorded for compliance and dispute resolution.
Third parties
Multi-party wallet infrastructure is provided by BitGo; qualified custody and banking, where contracted, by regulated partners; identity verification by our verification provider; bank linking and ACH by Plaid. Each processes data under its own policy.
03 — Controls
Compliance
MetaGrade is designed around institutional compliance controls.
KYC / KYB: identity and entity verification before value movement.
KYT: transaction risk screening prior to crypto release.
Dual control: escrow release requires compliance + finance sign-off plus wallet policy approval before BitGo co-signs.
2FA: time-based one-time passwords (TOTP) for account access.
Audit: an audit event for every state change, plus payout records for every settlement.
